• "Organization-Specific Data" means interactions, notes, tasks, orders, enquiries, pricing, pipeline status, internal classifications, campaign data, call logs, email contents, WhatsApp messages, and usage data that belong to a specific customer workspace

2. ACCEPTANCE OF TERMS

2.1 By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2.2 You must be at least 18 years old and legally capable of entering into binding contracts to use our Services.

2.3 If you are using our Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2.4 We reserve the right to modify these Terms at any time. Continued use of our Services after modifications constitutes acceptance of the updated Terms.

3. DESCRIPTION OF SERVICES

3.1 Platione.com provides a B2B marketplace and business software platform currently organized around three primary products:

• AI Business Suite: CRM, inventory management, order management, product/service catalog, reporting, and related business operations tools
• Sales Assist: Formerly Pulsar, an AI sales follow-up assistant for contacts, planned actions, interaction logging, WhatsApp/email/call workflows, recommendations, and sales execution

3.2 Our Services are designed exclusively for business-to-business (B2B) transactions and are not intended for individual consumer use.

3.3 Shared Contact Identity Model

Platione may maintain a shared contact and organization identity graph across the marketplace. By submitting or importing contact or organization data, Users acknowledge and agree that:

• Platione may match records using key identifiers such as phone number, email address, domain, business name, location, or other identity signals
• When a submitted record matches an existing Shared Contact Profile, Platione may link the User's company-specific relationship to that existing profile instead of creating a duplicate
• Factual shared profile attributes such as name, company name, role, business contact details, website, address, location, social links, and public business profile details are not exclusively owned by the first User who entered them
• Another User who independently provides matching key identifiers may see shared profile attributes for that matched contact or organization
• Organization-Specific Data remains private to the relevant customer workspace unless the User authorizes sharing or disclosure is legally required
• Users must not upload confidential notes, trade secrets, sensitive personal data, or non-public customer information into fields intended for shared profile attributes

3.4 We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice to Users.

4. COMMUNICATION SERVICES AUTHORIZATION

4.1 Authorization to Communicate

By using our Services, Sellers specifically authorize Platione.com to send communications on their behalf, including:

• Email marketing messages to potential buyers in our database
• WhatsApp Business messages and promotional content
• SMS notifications and marketing communications
• Social media posts and content distribution
• Direct outreach to both known and unknown buyers in our network

4.2 Content and Messaging

Sellers acknowledge that:

• Platione.com may create, modify, and send marketing content on behalf of Sellers
• Communications will be sent using Platione.com's messaging infrastructure and branding
• All communications will comply with applicable anti-spam and marketing regulations
• Recipients have the right to opt-out of future communications

4.3 Database and Targeting

Sellers consent to Platione.com:

• Using our proprietary buyer database for outreach campaigns
• Applying AI-powered targeting and lead scoring algorithms
• Sharing Seller information with qualified potential buyers
• Including Seller details in industry newsletters and market updates

4.4 Seller Upload of Third-Party Contacts

When Sellers upload contact lists for marketing campaigns:

• Seller Warranties: Sellers warrant they have lawful basis and valid consent for each contact uploaded
• Shared Profile Matching: Sellers acknowledge uploaded contacts may be deduplicated, normalized, enriched, or linked to existing Shared Contact Profiles where key identifiers match
• No Exclusive Ownership: Sellers do not receive exclusive ownership over factual contact or organization profile attributes by uploading or editing them first
• Platione Liability: Platione does not verify consent and is not liable for violations of consent requirements
• Campaign Suspension: Platione reserves the right to suspend campaigns without proof of proper consent
• Indemnification: Sellers agree to indemnify Platione for any legal violations related to uploaded contact lists
• Compliance Documentation: Sellers must maintain records of consent and provide upon request

4.5 Communication Standards

All communications sent on behalf of Sellers will:

• Include proper identification of the sending party
• Provide clear unsubscribe mechanisms
• Comply with applicable data protection and privacy laws
• Maintain professional business communication standards

5. USER REGISTRATION AND ACCOUNTS

5.1 Users must create an account to access certain features of our Platform.

5.2 You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

5.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5.4 You must notify us immediately of any unauthorized use of your account or any other breach of security.

5.5 We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.

• Harass, abuse, or harm other Users

8.3 Refund and Cancellation Policy

10.2 Users grant Platione.com a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute User content for the purpose of providing Services.

For contact and organization profile data submitted to Platione, Users grant Platione a non-exclusive, worldwide, royalty-free license to process, normalize, deduplicate, enrich, match, merge, display, and maintain such data as needed to operate Shared Contact Profiles and provide the Services, subject to the Privacy Policy and applicable law.

10.3 Users represent that they own or have the necessary rights to all content they upload to the Platform.

10.4 Platione.com respects intellectual property rights and will respond to valid takedown requests under applicable laws.

10.5 IP Infringement Policy

• Immediate removal of infringing content upon verified complaint
• Three-strike policy for repeat IP violations

12.3 We implement appropriate security measures to protect User data, but cannot guarantee absolute security.
